Terms of Use

Reperire

Effective Date: September 5, 2026

These Terms of Use (“Terms”) govern your access to and use of getreperire.com, Reperire’s private beta, and any related services that link to these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

If you are using Reperire on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” also refer to that organization.

If you do not agree to these Terms, do not use the Services.

1. About Reperire

Reperire is a revenue opportunity intelligence platform designed to help businesses identify and evaluate potential opportunities using signals from their existing business, marketing, commerce, analytics, customer, and related systems.

Reperire may analyze information, identify patterns, estimate potential value, prioritize opportunities, and recommend actions for users to review.

Reperire is designed to support human decision-making. It does not replace your judgment or responsibility for business decisions.

2. Private Beta

Some or all Reperire services may currently be offered as a private beta, preview, pilot, experimental feature, or early-access service.

Beta services may:

  • Be incomplete
  • Contain errors or bugs
  • Change without notice
  • Have limited functionality
  • Experience interruptions or downtime
  • Produce incomplete or inaccurate results
  • Be discontinued
  • Have integrations or features that are planned but not yet available

Submitting a request for private-beta access does not guarantee that access will be granted.

We may accept or decline participation in the private beta at our discretion.

We may also modify, suspend, limit, or discontinue beta access at any time.

3. Illustrative Information

Examples, opportunity values, percentages, system maps, screenshots, recommendations, demonstrations, case examples, and other information displayed on the Reperire website may use hypothetical, simulated, or illustrative data.

Unless expressly identified as an actual customer result, these examples should not be interpreted as actual performance results or promises of future performance.

The presence of a third-party platform, product, logo, or service on the Reperire website does not necessarily mean that Reperire currently offers a live integration with that platform or that the third party sponsors, endorses, or is affiliated with Reperire.

Available integrations and capabilities will be confirmed separately where applicable.

4. No Guarantee of Revenue or Business Results

Reperire may provide estimates regarding potential revenue, cost savings, performance improvements, customer behavior, marketing performance, or other business outcomes.

These estimates are informational and may be based on assumptions, historical information, statistical analysis, automated systems, incomplete data, or other factors.

Reperire does not guarantee that any recommendation, opportunity, estimate, prediction, or action will produce revenue, profit, savings, growth, improved performance, or any other particular result.

Actual outcomes may differ materially from estimates.

You remain solely responsible for evaluating recommendations and deciding whether, when, and how to act on them.

5. Human Review and Approval

Reperire is designed around human review of recommended actions.

Unless separately agreed in writing, Reperire does not have authority to make binding business decisions on your behalf.

You are responsible for reviewing any recommendation before implementing it and for ensuring that actions taken through your business systems are appropriate, lawful, accurate, and authorized.

6. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

Reperire is intended primarily for business and professional use.

7. Accounts and Access

Certain Reperire services may require an account or authorized access credentials.

If an account is provided to you, you are responsible for:

  • Providing accurate registration information
  • Keeping your credentials confidential
  • Limiting access to authorized users
  • Maintaining appropriate security for your devices and systems
  • Promptly notifying us of suspected unauthorized access

You are responsible for activity occurring through your account to the extent permitted by law.

You may not share access credentials with unauthorized individuals.

8. Your Data

You retain your rights in information, content, records, files, and other data that you provide to Reperire or authorize Reperire to access (“Customer Data”).

You grant Reperire the limited rights necessary to host, copy, transmit, analyze, process, display, and otherwise use Customer Data to:

  • Provide and operate the Services
  • Generate requested analysis and recommendations
  • Maintain and secure the Services
  • Diagnose problems
  • Provide support
  • Improve the Services where permitted by applicable agreements and law

You represent that you have the rights and permissions necessary to provide Customer Data to Reperire and authorize its processing.

You are responsible for ensuring your use of Reperire and the data you provide complies with applicable privacy, marketing, consumer-protection, employment, contractual, and other laws.

Additional data-processing terms may apply to customers using Reperire with production business data.

9. Confidential Information

During private-beta participation, you and Reperire may exchange non-public business, technical, product, financial, operational, or other confidential information.

Each party should use reasonable care to protect confidential information received from the other and use it only for purposes related to the Services or the parties’ relationship.

Information will not be considered confidential if it:

  • Was already lawfully known without confidentiality obligations
  • Becomes public through no breach of an obligation
  • Is independently developed without use of the confidential information
  • Is lawfully received from another source without confidentiality restrictions

A party may disclose confidential information when legally required, subject to applicable law.

Separate nondisclosure or customer agreements may replace or supplement this section.

10. Acceptable Use

You may not use the Services to:

  • Violate any law or regulation
  • Infringe intellectual-property, privacy, contractual, or other rights
  • Access data or systems without authorization
  • Introduce malware or malicious code
  • Interfere with the security or operation of Reperire
  • Probe, scan, or test vulnerabilities without permission
  • Circumvent access restrictions or security controls
  • Scrape or systematically extract information from the Services except as expressly permitted
  • Reverse engineer, decompile, or attempt to derive source code except where such restrictions are prohibited by law
  • Misrepresent your identity or authority
  • Use Reperire to facilitate fraud, deception, or unlawful discrimination
  • Use the Services in a way that creates unreasonable risk to Reperire, our infrastructure, our users, or third parties

We may suspend or terminate access where we reasonably believe these Terms have been violated.

11. Third-Party Services and Integrations

Reperire may interact with third-party products, platforms, APIs, applications, or services.

Your use of a third-party service remains governed by that third party’s own agreements and policies.

Reperire does not control third-party services and is not responsible for their availability, security, accuracy, functionality, or changes.

Third-party providers may modify or discontinue APIs or features in ways that affect Reperire.

12. Intellectual Property

Reperire and its licensors retain all rights, title, and interest in and to the Services, including:

  • Software
  • Technology
  • Designs
  • Interfaces
  • Branding
  • Logos
  • Documentation
  • Methods
  • Models
  • Workflows
  • Site content
  • Product features

Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to you.

“Reperire,” its branding, and related marks may not be used without permission.

13. Feedback

We welcome ideas, comments, and feedback about Reperire.

If you voluntarily provide feedback, you grant us permission to use, adapt, develop, and incorporate that feedback into Reperire without restriction or obligation to compensate you.

This does not give us ownership of your Customer Data or confidential business information.

14. Communications

If you request beta access or otherwise communicate with Reperire, we may contact you regarding:

  • Your request
  • Beta participation
  • Product updates
  • Service notices
  • Support
  • Security
  • Changes to the Services
  • Other matters related to your relationship with Reperire

Where required by law, marketing communications will include an appropriate method to unsubscribe.

15. Service Changes

Reperire is actively developing its Services.

We may add, remove, modify, suspend, or discontinue features, integrations, functionality, or other aspects of the Services.

We may also impose or change usage limits.

Where appropriate, we will provide reasonable notice of material changes affecting paying customers.

16. Pricing and Payment

Access to certain Reperire services may require payment.

Pricing, subscription terms, beta terms, usage limits, billing arrangements, and other commercial terms may be presented separately during onboarding or through an applicable order form or customer agreement.

If a separate written agreement between you and Reperire conflicts with these Terms, the separate written agreement will control with respect to that conflict.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

REPERIRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
  • ALL DATA OR ANALYSIS WILL BE COMPLETE OR ACCURATE
  • RECOMMENDATIONS WILL PRODUCE ANY PARTICULAR RESULT
  • ANY ESTIMATED OPPORTUNITY WILL BE REALIZED
  • THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE
  • THE SERVICES WILL MEET EVERY BUSINESS REQUIREMENT

Some jurisdictions may not permit certain warranty exclusions, in which case those exclusions apply only to the extent permitted by law.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPERIRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPERIRE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID REPERIRE FOR THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID REPERIRE FOR THE SERVICES.

These limitations apply regardless of the legal theory asserted and even if Reperire has been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Reperire and its owners, officers, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from:

  • Your misuse of the Services
  • Your violation of these Terms
  • Customer Data you provide without appropriate rights or authorization
  • Your violation of applicable law
  • Actions you choose to take based on Reperire recommendations

This obligation does not apply to the extent a claim results from Reperire's own unlawful conduct.

20. Suspension and Termination

You may stop using Reperire at any time.

We may suspend, restrict, or terminate access if:

  • You violate these Terms
  • Your use creates a security or legal risk
  • Payment obligations are not satisfied
  • Continued access could harm Reperire or another party
  • A beta program or service is discontinued

Sections that by their nature should survive termination will remain effective after termination, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, and disputes.

21. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes arising out of these Terms or the Services will be brought in the state or federal courts with jurisdiction in Warren County, Kentucky, and the parties consent to jurisdiction and venue there.

22. Changes to These Terms

We may update these Terms as Reperire develops.

When we update them, we will revise the effective date at the top of this page.

If changes are material, we may provide additional notice where appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign these Terms without our consent. Reperire may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets.

These Terms, together with any applicable order form, beta agreement, privacy policy, or other written agreement between you and Reperire, constitute the agreement governing your use of the applicable Services.
